1.Scope and Acceptance

These Terms of Use govern your access to and use of www.agnivent.com and its related tools and content, including the Fan Selection Tool, Industrial Cooling Configurator, Part Number Index and any other selection, calculation or configuration tools made available through the website (together, the “Website”).

By accessing or using the Website, and where prompted by clicking to accept these Terms, you agree to be bound by them.

If you do not agree to these Terms, you must not use the Website or its selection tools.

The AgniVent entity responsible for your use of the Website is identified in Section 12.

2.Intended Business Use

The Website is intended primarily for businesses, engineers, OEMs, equipment operators and other professional users seeking industrial products, technical information and related services.

If you use the Website on behalf of a company or other organization, you confirm that you are authorized to act on its behalf.

The Website and its selection tools are not intended as consumer engineering services.

3.Information Only — No Offer

Product descriptions, specifications, dimensions, drawings, part numbers, technical data, calculated values, selection results and other information presented on the Website are provided for informational and evaluation purposes.

Nothing published on the Website constitutes an offer to sell, a binding quotation or an undertaking to supply any particular product.

Any sale, engineering service or supply arrangement is governed by the applicable written quotation, order confirmation, agreement or other commercial documents issued separately by AgniVent.

Product specifications, availability, technical data and other information may change without notice.

4.Selection and Configuration Tools

The Fan Selection Tool, Industrial Cooling Configurator and other calculation or selection tools available through the Website are intended to assist with preliminary technical evaluation.

Results may be based on technical data from manufacturers or other sources, engineering calculations, interpolation, assumptions, software logic and the parameters entered by the user.

Results are indicative only.

They do not constitute a certified engineering design, engineering approval, safety assessment, performance guarantee or confirmation that a selected product or configuration is suitable for every aspect of a particular application.

The accuracy of any result depends on the accuracy and completeness of the information entered by the user and on the technical data and assumptions used by the tool.

The tools may display only a limited number of possible products or configurations and may not show every solution potentially suitable for an application.

You remain responsible for verifying relevant operating conditions, dimensions, loads, temperatures, fluids, materials, electrical requirements, environmental conditions, installation requirements and applicable laws, standards and safety requirements.

Selection-tool results should not be used as the sole basis for final procurement, manufacture, installation, commissioning, operation or any safety-critical engineering decision.

Any product selection or recommendation intended to be relied upon for an actual project or purchase should be confirmed separately in writing by AgniVent.

5.Intellectual Property

Except for third-party materials, the Website and its original content, software, user interface, calculation workflows, selection logic, organization, structure, compilations, graphical elements and design are owned by or licensed to AgniVent and are protected by applicable intellectual property laws.

Technical data, trademarks, product names, model designations, drawings and other materials originating from manufacturers or other third parties remain the property of their respective owners.

The inclusion of third-party names, trademarks, products or technical information on the Website does not transfer ownership of those rights to AgniVent.

No rights are granted except for the limited right to use the Website in accordance with these Terms.

6.Permitted Use

You may use the Website manually for legitimate internal business purposes, technical evaluation and evaluation of potential purchases or projects.

You may download individual documents where the Website expressly provides a download function and use them for the purpose for which they are provided.

No other licence or right to reproduce, extract, distribute or commercially exploit Website content or data is granted.

7.Prohibited Use

You must not, directly or indirectly:

• use robots, spiders, scrapers, crawlers, headless browsers, scripts, automated agents or other automated means to access the selection tools or to extract, collect or reproduce Website content or data;
• access non-public APIs, endpoints or server resources except through interfaces expressly provided by AgniVent for that purpose;
• submit repeated, systematic, automated or coordinated queries for the purpose of reconstructing product data, product ranges, calculation methods, correlations, selection rules, algorithms or selection logic;
• circumvent, disable, bypass or interfere with bot protection, rate limits, access controls, authentication, security measures or other technical restrictions;
• copy, reproduce, republish, aggregate, distribute, sell, license or otherwise make available a substantial part of the Website, its data compilations or selection outputs;
• use Website content, selection results or systematically extracted information to create, reproduce, train, validate or improve a competing product-selection tool, configurator, database, software service, artificial-intelligence system or machine-learning model;
• decompile, disassemble, reverse engineer or otherwise attempt to discover source code, server-side logic, algorithms or non-public technical components of the Website, except to the limited extent that applicable law expressly prohibits such a restriction;
• interfere with the normal operation, security or availability of the Website;
• use the Website for unlawful, fraudulent or abusive purposes.

General-purpose search engines may index publicly accessible Website pages in accordance with AgniVent's robots.txt instructions. This permission does not extend to selection-tool endpoints, APIs or systematic extraction of data.

AgniVent may restrict, throttle or block access where it reasonably suspects automated extraction, abuse, circumvention of technical restrictions or another breach of this Section.

AgniVent reserves all rights and remedies available under applicable law in relation to unauthorized access, extraction, copying or use.

8.User Inputs and Confidential Information

The selection tools are intended for technical parameters required to perform calculations or product selections.

Do not enter personal data, confidential information, trade secrets, export-controlled information or other sensitive material unless it is reasonably necessary and appropriate for the intended use of the Website.

Submission of information through a selection tool does not by itself create a confidentiality agreement or other confidential relationship with AgniVent.

Where a project requires confidential treatment, a separate confidentiality agreement should be concluded.

9.Website Availability and Changes

AgniVent may modify, update, restrict, suspend or discontinue the Website or any part of it, including individual products, datasets, calculation methods and selection tools, at any time.

AgniVent does not guarantee that the Website will operate without interruption, delay, security vulnerabilities, technical errors or inaccuracies.

10.Third-Party Websites and Materials

The Website may contain links to third-party websites or materials supplied by third parties.

AgniVent does not control such websites and is not responsible for their availability, security, accuracy, content or practices.

Use of third-party websites is subject to the terms and policies of the relevant third party.

11.Privacy

Processing of personal data in connection with the Website is described in the AgniVent Privacy Policy & KVKK Information Notice.

Technical information entered into selection or configuration tools may be processed by the Website infrastructure where necessary to perform calculations, maintain security, prevent abuse and operate the service.

12.Responsible AgniVent Entity, Liability and Governing Law

12.1 Users located in the United States

For users located in the United States, the responsible entity is:

THE WEBSITE, ITS CONTENT AND ALL SELECTION OR CALCULATION RESULTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNIVENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

AGNIVENT DOES NOT WARRANT THAT ANY SELECTION RESULT, CALCULATION OR CONFIGURATION WILL BE SUITABLE FOR A PARTICULAR APPLICATION OR WILL ACHIEVE A PARTICULAR PERFORMANCE RESULT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNIVENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, PRODUCTION, DATA, BUSINESS OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH USE OF THE WEBSITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNIVENT'S TOTAL AGGREGATE LIABILITY ARISING SOLELY FROM USE OF THE WEBSITE SHALL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT PAID BY YOU SPECIFICALLY FOR USE OF THE WEBSITE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or use of the Website shall be brought exclusively in the state courts located in Miami-Dade County, Florida, or the United States District Court for the Southern District of Florida, to the extent such jurisdiction and venue may lawfully be agreed.

12.2 Users located outside the United States

For users located outside the United States, the responsible entity is:

To the maximum extent permitted by applicable law, AgniVent shall not be liable for indirect, incidental or consequential losses, loss of profit, loss of production, loss of revenue, loss of data or loss of business arising from use of, or reliance upon, the Website or its selection results.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, injury to life or health, or any other liability that cannot lawfully be excluded or limited.

These Terms are governed by the laws of the Republic of Türkiye.

For users acting in the course of business or professional activity, the courts and enforcement offices of Istanbul Anatolia (İstanbul Anadolu) shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms, to the extent permitted by applicable law.

12.3 Mandatory consumer rights

The Website is intended for professional and business use.

If you nevertheless qualify as a consumer under applicable law, nothing in these Terms excludes any mandatory consumer protection, jurisdictional right or other legal protection that cannot lawfully be waived by agreement.

In particular, where mandatory law of your country of habitual residence applies regardless of the choice of law stated above, such mandatory protection remains unaffected.

13.Breach of These Terms

Where AgniVent reasonably believes that you have breached these Terms, it may restrict or terminate access to the Website or its tools without prior notice.

This is without prejudice to any other rights or remedies available to AgniVent under contract, intellectual property law, unfair-competition law or other applicable law.

14.Changes to These Terms

AgniVent may update these Terms from time to time.

The current version and its effective date will be published on the Website.

Where technically appropriate, AgniVent may require renewed acceptance of materially revised Terms before further use of a selection or configuration tool.

15.Severability

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be applied to the maximum extent permitted by law and the remaining provisions shall remain in effect.

16.Relationship to Commercial Terms

These Terms govern use of the Website only.

They do not replace or modify any separate quotation, order confirmation, sales terms, supply agreement, confidentiality agreement or other written agreement between you and an AgniVent entity.

Where such a separate agreement applies to a particular transaction or project, that agreement governs the relevant commercial relationship.
